We are looking for a Senior Associate to join our highly regarded Corporate team in London, focusing predominantly on Equity Capital Markets and public company M&A work.  This is an exciting opportunity to join a Chambers and Legal 500 rated team and advise on high value, strategically important and often international projects within a supportive and collegiate environment.

The practice

We advise domestic and international companies, investment banks and other market participants on all aspects of equity capital markets transactions. We are particularly strong in the mid-market, handling Main Market and AIM IPOs, secondary issues/block trades, public company M&A and other strategic corporate activity for our quoted clients as well as providing day-to day corporate governance and regulatory advice. 

We regularly advise over 50 quoted companies ranging from large FTSE 100/250 businesses, such as Hargreaves Landsdown and TalkTalk, to larger AIM quoted companies, such as Fever Tree.  We also have strong institutional relationships, working with many investments banks, sponsors, nomads and other financial advisers, including Investec Bank, Canaccord Genuity, Cenkos Securities, Shore Capital, Panmure Gordon, Peel Hunt, Liberum Capital and finnCap.

The team

Spanning all three of our UK based offices, the Corporate department is made up of over 70 lawyers in total. The London team is made up of 16 Partners, 3 Associate Directors, 11 Senior Associates, 10 Associates, 3 Trainee Solicitors and 3 paralegals. The ECM practice is led by partner Jonathan King.

The work

Recent transactions include:

Advised essensys plc on its £75 million AIM IPO and associated £28 million placing.

Advised Liberum Capital in its capacity as nominated adviser, broker and sponsor to CFD trading platform Plus 500 Limited on its successful c.£1.5 billion migration from AIM to the premium listing segment of the Official List of the Financial Conduct Authority.

Advised Lloyds Development Capital (LDC) in its capacity as selling shareholder on the successful £217 million AIM IPO of global games brand, Team 17 Group plc and associated £108 million placing.

Advised Cenkos Securities in its capacity of nominated adviser and broker to digital resilience group Shearwater Group plc on its £30 million reverse takeover of Brookcourt Solutions Limited and c.£60 million re-admission to trading on AIM.

Advised healthcare technology business Sensyne Health plc on its £225 million AIM IPO and associated £60 million placing. 

Advised TalkTalk on its successful £200 million cashbox placing to strengthen its balance sheet, support its continued customer growth and its investment in its long-term fibre plans.

Advised Investec Bank in its capacity as nominated adviser and broker to AI software business Blue Prism Group plc on its £70 million secondary placing (January 2018) and its £100 million secondary placing (January 2019).

Advised Cenkos Securities and Numis Securities on the successful £170 million cashbox placing for Breedon Group plc. 

Advised Zotefoams plc on its successful £20.6 million placing and the arrangement of a new £57.5 million debt facility.

Advised Creo Medical Group plc, a medical device company focused on the emerging field of surgical endoscopy, on a placing to raise up to £48.5 million before expenses.

Advised Avanti Communications Group plc on its highly complex $250 million debt for equity swap, scheme of arrangement, equity fundraising and Rule 9 whitewash.

Technical skills and experience

You will ideally have knowledge and experience of advising public companies/investment banks on equity capital markets transactions, takeovers and wider regulatory and corporate governance matters which will have been gained at a well-respected City or National firm. Due to the nature of the work and the structure of the team, we are looking for a Senior Associate, although we will consider candidates with more or less experience.
