Job Details

This role is a hands on and varied role working as part of an existing team of nine, based in London.  The role encompasses multiple aspects of managing the governance arrangements for the EMEA region, and will include (but is not limited to) the following:

  • Advising directors, business groups and support divisions on aspects of company secretarial practice, corporate governance, company law and internal policies;
  • Drafting board resolutions and related documents for transactions and reorganisations;
  • Working closely with the business unit lawyers on the company secretarial and corporate governance aspects of large investments and other deals, including at the time of financial / contract close;
  • Supporting the team with running the regular board / committee meeting process for key entities and attending and minuting those meetings and co-ordinating the follow up actions;
  • Assisting with the compliance of subsidiary companies (some of which are regulated);
  • Managing day-to-day relationships and interactions with external service providers;
  • Working closely with key internal stakeholders including Finance, Tax, Treasury, Compliance and Legal;
  • Regulatory change and other projects including internal initiatives;
  • Keeping abreast of corporate governance developments and related legislative changes and translating these into the necessary actions in conjunction with the team; and
  • Managing and advising on the setting up, acquisition and dissolution of entities.

To be successful in this role you will need to demonstrate the following skills and attributes:

  • ICSA/CGI qualified Company Secretary;
  • Strong company secretarial and corporate governance knowledge and experience gained in a similar, fast paced environment;
  • Experience of managing the company secretarial elements of cross disciplinary/divisional projects;
  • Ability to work well under pressure, meet deadlines and adopt a pragmatic approach;
  • Ability to absorb and act upon instructions whether received by written or verbal means;
  • Strong organisational and prioritisation skills;
  • Ability to solve problems and show initiative;
  • Integrity, knowing how to ‘do the right thing’ and when an issue requires escalation;
  • Highly motivated with an enthusiastic and flexible approach to work, working additional hours when required;
  • Good team ethic and also comfortable to work autonomously;
  • Excellent personal presentation and written and verbal communication skills and the confidence to communicate with people at all levels within the organisation;
  • Strong attention to detail; and
  • Proficient in Diligent Entities and Diligent Board Books (or similar software), MS Word, Excel, PowerPoint and Outlook.

The following would also be preferred although not essential:

  • Experience of working across multiple time zones; and
  • Experience of company secretarial work / overseeing company secretarial work in non-UK jurisdictions, particularly in Europe, Middle East and Africa.
