Our client is a growing SaaS tech firm providing specialist services to the banking and financial services industries. 
They are looking for a part time Legal Counsel to take ownership of legal matters and corporate affairs. This is a fantastic opportunity to join an ambitious start-up and directly impact success. You will ensure that company operates within the law at all times, offer counsel on legal issues, and be a guardian of the organisation.

The successful candidate will be able to ensure legal compliance and limit risk exposure.

Responsibilities

  • Supporting the CEO on corporate matters and in particular in preparing corporate finance paperwork and preparing for due diligence as part of a Series A fundraising
  • Review, audit and take responsibility for all governance paperwork and processes – Board, Audit & Risk, Remuneration committee
  • Manage the company cap table
  • Review, audit and take responsibility for all contracts (customers, suppliers, staff etc)
  • Ensure the company fulfils its regulatory obligations
  • Managing the company’s share option scheme

Knowledge, skills and experience
Essential

  • Independent and organised self-starter not afraid of meeting challenges head on
  • Highly analytical with exceptional attention to detail
  • SaaS/data startup/scale up experience
  • Proven legal counsel experience in a business environment
  • Overall broad legal knowledge (corporate law, litigations, labour law, etc)
  • In-depth understanding of how legal issues affect organisations
  • Well-versed in how business operate with financial acumen
  • High degree of professional ethics, integrity and gravitas
  • Excellent judgement and analytical skills
  • First class interpersonal and communication skills
  • Ability to anticipate legal issues or risks and to “see around the corner”

Desirable

  • Tech-savvy and comfortable with modern software applications 
  • Experience working for a tech company and/or a fast-growing start up
  • An international mindset; experience working across international jurisdictions, particularly UK / US (California)

Flexibility: 3 days a week
Salary: £55K FTE
