Summary & Objective

The L&C Officer is accountable for ensuring that the sales, projects and functional managers are provided with clear legal guidance and timely contractual advice, including provision of written documentation. This will include accountability for contractual agreements with all service suppliers.

You will be expected to advise the Senior Management Team, ensuring that the Company is compliant with all national laws (and wider corporate legal/commercial directives) and that any changes in laws (or directives) are identified in advance so that the business can amend its policies and procedures.

This will be a part time role (approx. 25 hours per week), on a contract basis currently until March 2020.

Responsibilities / Duties

The successful candidate will be expected to:

  • Provide advice to business managers regarding all legal and contractual matters
  • Support the sales, operational and functional managers in; identifying contractual risks, negotiation of contracts and structuring partnering relationships.
  • To be actively involved, where required, from the first opportunity review, producing contractual responses to all new business proposals, generating and negotiating terms & conditions of contracts, sub-contracts and all commercial Legal Agreements (including but not limited to: Confidentiality, Teaming/Collaboration, Software Licence, ESCROW, Patents, Export Licences, Memorandum of Understanding, Heads of Agreement, Authorisation to Proceed, IPR etc )
  • Accountable for maintaining records of all contracts and agreements entered into by the Company
  • To interface with commercial colleagues in our parent company, Telespazio, to ensure consistency and commonality with group processes
  • To support the development of a common set of company wide Legal & Contracts processes, and update any standardised documents in line with best practice
  • To attend bid authorisation meetings, project progress and review meetings and other business function meetings as necessary.
  • To maintain and enhance client and supplier relationships where appropriate
  • To be conversant with the Company’s policy with regards to insurance, exporting etc.
  • To provide support in the negotiation of all contractual matters with regard to suppliers of support services to the Company, including insurances, rentals agreements, and other suppliers.
  • To ensure that the Company has the correct policies and procedures in place to comply with all legal requirements placed upon the Company by national laws, Finmeccanica/TPZ directives and client contracts. Advise management on how to comply with these requirements.
  • Interface to external legal advice as and when appropriate and having obtained suitable authorisation.

Qualifications / Experience

  • 2+ years of experience in commercial legal and contracts department, ideally within a service contract environment
  • Legal degree or extensive practical background
  • Strong relationship builder and communicator with experience working in diverse teams
  • Ability to generate respect and trust from staff and external constituencies
  • Ability to handle difficult situations whilst under pressure
  • Ability to change focus, and prioritise in line with business objectives.
