Temporary but potential for a permanent position for the right person.

An exciting opportunity has been become available within a well-established not for profit organisation. Our client is looking for an experienced governance administrator to join their team.

Duties include:

Provide guidance to the trustees on best practice, governance legislation, committee structures, the regulatory framework for governance (Company Law, Charity Law, Articles of Association and Funding Agreement) and procedural matters as appropriate.
Know where to access appropriate legal advice, support and guidance and where necessary seek advice and guidance from third parties on behalf of the governing board.
Identifies priorities, anticipates issues which may arise and draws these matters to the chair's attention and proposes recommendations.
Monitor the revision of policies required and update agenda accordingly.
Ensure meetings are well organised, attended, that all paperwork is in order and that meetings run to time.
With the Chair, CEO and relevant Executive Officer, prepare an agenda for the trustee meetings and subcommittee meetings.
Proof read papers before compilation of Committee packs.
Organise preparatory meetings as required.
Liaise with those preparing papers to ensure they are available on time. Manage the preparation and distribution of papers as required.
Record the attendance of Trustees and apologies, whether they have been accepted or not. Take appropriate action in relation to absences.
Promptly and accurately draft minutes of all meetings, indicating who is responsible for agreed actions within timescales.
Circulate drafts to all Trustees, members of committees and relevant executive officers in accordance with the Trust timetable.
Follow-up on any agreed action points with those responsible and advise Chair of progress.
Advise Trustees and the sponsor in advance of the expiry of a Trustees term of office and the impact of this on the board's capacity and skills mix.
Alert the governing board on the DfE's recommendations and guidance in relation to members and trustees.
Maintain an up-to-date register of interests and publish as appropriate.
Update Companies House returns.
Maintain accurate and up to date records of names, addresses and category of board member, meeting attendance and terms of office.
Maintain copies of current terms of reference and membership of any committees and working parties.
Maintain a record of signed minutes of meetings in the Trust's office and circulate as required.
Maintain a record of academy council membership and nominations.
Develop and maintain effective professional working relationships with key stakeholders.
