Purpose:              To provide legal support on all Property Companies and Operating Company matters

Key Responsibilities

  1. Act as senior legal adviser, providing first class legal service across The Hideaways Club business and group of companies, including THCPCL, THCCCPCL, THCL and THCUKL.
  2. Build and maintain understanding of businesses, strategies, products and processes to deliver legal support and advice to The Hideaways Club companies.
  3. Maintain awareness and understanding of the legal and regulatory framework and changes that affect the business in order to advise the business appropriately on the impact of such laws, regulations and changes.
  4. Research and share market and industry information with colleagues in order to provide proactive, pragmatic, sensitive, commercially balanced and timely legal counsel.
  5. Liaise with external counsel, as appropriate, in accordance with the business requirements to ensure cost effective and best-in-class advice is provided to The Hideaways Club companies.
  6. Ensure appropriate liaison and cooperation with business areas to promote risk management reporting, control and awareness initiatives within those business units, in order to provide reasonable assurance that those business areas are controlling legal risk.
  7. Advise and liaise with board of directors regarding the commercial and corporate affairs of The Hideaways Club companies.
  8. Provide legal and regulatory advice in respect of Gibraltar based Experienced Investor Companies (EIFs), affiliated companies and subsidiaries. This task involves:
  • a wide range of legal, regulatory and accounting issues as well as high degree of interaction with regulatory authorities and external counsel management;
  • periodic preparation, update and review of Private Investment Memorandum, Subscription Agreements, Membership Agreements and Club Constitution; and
  • instruction to and coordination of external lawyers in relation to the acquisition, disposition and leasing of properties for and on behalf of the EIFs or subsidiaries across the world.
  1. Assist with the preparation of investor communications and marketing materials. Any other legal advice to the CEO, as and when requested

Qualification / Experience / Skills / Attributes

  1. Qualified lawyer with postgraduate legal qualification of a first class UK university
  2. At least 10 years of solid legal experience in funds, regulatory, finance and corporate matters
  3. Commercially astute and able to think outside the box to deliver commercial solutions for the business within law
  4. Demonstrable track record of using initiative and working effectively with little supervision
  5. Excellent communication and interpersonal skills at all levels
  6. Attention to detail and ability to present information clearly, logically and accurately
  7. Highly organised with ability to prioritise tasks and work to strict deadlines
  8. Effective team player
  9. At least one European language desirable but not essential
